Alan Arkin is a litigator with more than twenty years’ experience practicing throughout the United States.  He has also acted as a trusted advisor to many businesses, investment funds, high net-worth individuals, and others in the financial services industry.

Alan has considerable expertise advising private equity funds, hedge funds, and other investment vehicles, as well as their founders and other constituents, with respect to a wide range of employment and other organizational matters.  For example, Alan frequently advises clients on fund breakups – whether through negotiation or litigation – and has also frequently advised clients on separations and other transitions within such organizations. 

Alan also has substantial experience advising clients on a variety of employment matters specific to private equity funds, hedge funds, and venture funds.  Alan’s understanding of what is “market” within the industry, and on the workings of carried interest and other deferred compensation plans has proven particularly valuable for Alan’s clients.

Alan is also an accomplished litigator, and has represented clients ranging from high net-worth individuals to large public companies in a wide range of matters in state and federal courts across the country, as well as in arbitrations before FINRA, JAMS, and the AAA.  Alan has significant experience with respect to fraud, asset recovery, offshore finance, employment, corporate governance, securities, and restrictive covenant cases.  In addition, Alan has particular expertise representing broker-dealers in both industry and customer disputes, and with respect to investigations and other examinations by FINRA and the SEC, among other regulatory agencies.

  • Represented a $1.6 billion private equity fund  in negotiations and litigation involving the removal of its founder.
  • Represented the founder of a mezzanine fund in negotiations concerning succession planning and a transition agreement.
  • Represented a group of senior private equity professionals in a spinout from an existing fund.
  • Represented numerous private equity funds, and numerous senior private equity professionals with respect to the negotiation of employment and other incentive-based compensation agreements.
  • Represented a hedge fund in connection with buyout negotiations between co-founders.
  • Represented a private equity advisory firm in the negotiation of employment agreements, and the structuring of profit participation and phantom equity plans.
  • Represented a portfolio company in an arbitration brought by the former Chief Executive Officer of the company with respect to his termination.
  • Represented a portfolio company in connection with a regulatory investigation arising out of a major workplace accident and personal injury lawsuit.
  • Represented numerous portfolio companies in connection with employment-related and commercial disputes.
  • Represented a hedge fund in SEC and CFTC investigations involving alleged trading improprieties.
  • Represented a hedge fund in an internal investigation concerning misappropriation of confidential information.
  • Represented a distressed investment-based hedge fund in a lawsuit against two investment banks for insider trading related to the purchase of bonds through the use of “big boy” letters.
  • Represented a distressed investment-based hedge fund in a lawsuit against the issuer of securities and its underwriter for securities fraud.
  • Represented an activist hedge fund in a Section 13(d) action alleging an improper shareholder group.
  • Represented a venture capital fund in connection with a lawsuit brought by shareholders of a portfolio company for fraud and other claims arising out of the acquisition of the company.
